EULA
What you may do with the software, and why your inspection data stays yours.
Last updated: October 18, 2026
This End User License Agreement (“Agreement“) is a legal agreement between you (an individual or, if you are acquiring a license on behalf of an organization, that organization — “you” or “Licensee“) and Inspection Hero LLC (“Licensor,” “we,” “us“) for the use of the Inspection Hero software application for iPhone, iPad and Mac, including any bundled or downloadable components, and any associated documentation (collectively, the “Software“).
BY DOWNLOADING, INSTALLING, ACTIVATING, PURCHASING A LICENSE FOR, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.
1. License Grant
Subject to your compliance with this Agreement and payment of any applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software, in executable form only, for your internal business or personal use, under the plan that applies to you. Plans are licensed per organization, not per seat. A “user” means an account created in the Software, and each plan has a user ceiling:
- Starter plan: no fee; up to 5 user accounts, intended for use on a single device. Does not include Data Sync, notification providers, restoring from a backup, Single Sign-On, or bulk user import.
- Team plan: up to 25 user accounts across your organization; adds Data Sync to storage you control, notification providers, and restoring from a backup.
- Business plan: up to 85 user accounts across your organization; adds Single Sign-On and bulk user import.
- Enterprise plan: the user ceiling, features, and any support commitments stated in your order.
- Perpetual license: a one-time fee for a perpetual right to use the Software, on any build, with the Enterprise plan’s features and the user ceiling stated in your order. New features and technical support are included through the “updates-until” date stated in your license key and thereafter only upon renewal of the update entitlement (Section 5); the features included in your license on that date remain licensed to you.
- App store license: if you obtained the Software through an app store, such as Apple’s App Store, your use is additionally subject to the applicable store’s standard end-user license terms and usage rules, which are incorporated by reference and control in the event of a conflict with this Agreement. Section 13 sets out additional terms for Apple’s App Store.
License keys. Paid plans are activated by entering a signed license key. The key is verified on your device and is never transmitted to Licensor; one key covers every device used by your organization. You are responsible for keeping your key within your organization and for your users’ compliance with this Agreement. Your order and license key may add features to a plan (for example, Single Sign-On on the Team plan); those features are licensed as part of that plan.
User ceilings. The Starter plan stops accepting new user accounts at its ceiling. Paid plans allow temporary growth of up to 20% above their ceiling before new accounts are refused; if you exceed your plan’s ceiling, you agree to move to a plan that covers your user count at your next renewal or sooner. On Team and higher plans the user count is measured across your organization, as described in Section 2.10 of the Privacy Policy.
2. Restrictions
You may not, and may not permit others to:
- copy, modify, adapt, translate, or create derivative works of the Software, except as permitted by applicable law notwithstanding this restriction;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent applicable law expressly permits despite this limitation;
- rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the Software or your license rights to any third party, except as expressly permitted by your license tier (e.g., authorized seats within your own organization);
- remove, obscure, or alter any proprietary notices, branding, or labels on the Software;
- use the Software to build a competing product or service;
- use the Software in any way that violates applicable law, or in safety-critical contexts where failure of the Software could lead to death, personal injury, or severe property or environmental damage — the Software is a documentation and workflow tool, not a substitute for professional judgment or certified safety equipment;
- circumvent any licensing, activation, seat-limiting, or license-usage reporting mechanism.
3. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to Licensor’s trademarks, service marks, or logos. All rights not expressly granted to you are reserved by Licensor.
Your data. As between you and Licensor, you retain all right, title, and interest in the inspection records, photos, templates, and other content you create using the Software (“Your Data“). Because the Software stores Your Data locally on your device, Licensor does not host, access, or control Your Data — see the Privacy Policy for details.
4. Third-Party Components and Services
The Software includes open-source and third-party software components, each governed by its own license terms; those licenses are not modified by this Agreement. Optional integrations you configure (e.g., Slack, Microsoft Teams including its Workflows, Discord, Telegram, or custom webhooks; email through your own mail server or a Microsoft 365 or Gmail mailbox; a Single Sign-On identity provider; Google Static Maps or Mapbox for maps) connect directly to services chosen and controlled by you, and your use of those services is governed by their own terms — Licensor is not a party to, and has no responsibility for, those third-party services, including any usage fees they charge for the API keys you supply. The same applies to the optional AI Assistant feature. On devices that support it, the AI Assistant can draft with Apple Intelligence on the device, under Apple’s own terms. Apple Maps and Apple’s weather service, where you use them, are likewise provided by Apple under its own terms, and Licensor has no responsibility for them. When you connect your own AI service, the Software connects, using an API key and endpoint you supply, directly to a third-party AI service of your choosing (e.g., OpenAI), and that provider’s own terms govern its use, including the accuracy, quality, and any usage costs of the content it generates. You are solely responsible for reviewing AI-generated content (template items, suggested field text) before relying on it, whichever service drafted it — Section 8’s disclaimer applies equally to it.
Data Sync on storage you control. The optional Data Sync feature connects the Software to storage that you or your organization operate or contract for (a bucket or container at a storage provider, or a custom sync endpoint your organization builds and runs). Licensor does not provide, host, or operate that storage. You are solely responsible for choosing and configuring it, securing it (including using HTTPS, protecting access keys and shared access signatures, and any access rules the provider requires), backing it up, and controlling who can reach it; Licensor is not responsible for data loss, unauthorized access, or merge conflicts arising from the storage you use or the network between it and your devices. You are also responsible for sharing setup links and their setup codes only with the people setting up your organization’s devices, and for keeping the setup screen out of others’ view: together they carry your integration credentials, let a new device join your organization’s Data Sync storage, and can let the person named in them set a password there.
Demo data. The Software can be started in a demo mode that loads a fictitious sample organization, sites, users, and inspections. That sample content is provided solely to let you evaluate the Software; it is not a real inspection record, must not be represented as one, and is deleted when you exit demo mode or when the demo period ends. A demo runs for seven days from the day it starts; when that period ends its data is deleted and the Software returns to the first-launch choice. Starting another demo begins a new seven-day period with fresh sample content.
5. Updates
Licensor may, but is not obligated to, provide updates, patches, or new versions of the Software. This Agreement governs any such updates unless accompanied by separate terms. On annual plans, updates released during your plan term are included. Under a perpetual license, your right to use the Software does not depend on the date of the build you run. Features first released after the “updates-until” date in your license key are not licensed to you until you renew the update entitlement, which issues a new key with a later date, and the Software may withhold such features while the entitlement is lapsed; features included in your license on that date are not withdrawn. Maintenance and security updates delivered through your distribution channel are not withheld. Under a perpetual license, technical support is available only while your update entitlement is current. A renewal of the update entitlement runs from the “updates-until” date in your previous license key, so a renewal made after that date includes the fees for the period since it.
6. Fees, Trials, Renewal, and Refunds
The Starter plan is provided at no charge. Team, Business, Enterprise, and Perpetual licenses are sold only to organizations, for use by their staff, and are purchased from Licensor directly, not through the Software or an app store. Paid plans are billed as an annual fee per organization unless your order states otherwise; fees are as stated at the time of purchase and are non-refundable once your license key has been issued, except where the law requires otherwise. Trial keys, where offered, expire on the date stated in the key. Renewal is by purchase of a new license key. A lapsed key keeps full function for a 90-day grace period after its expiry date, after which the Software runs under the Starter plan; Your Data is never locked or deleted by a lapse, and entering a renewed key restores your plan. A renewal of an annual plan purchased before its grace period ends runs from the expiry date of the license key it renews; one purchased later runs from the date of payment. A perpetual license is a one-time fee, and renewal of its update entitlement is optional (Section 5).
Support and services. Support levels (such as priority support or a response time) and services (such as guided setup) are as stated for your plan when you buy, or in your order. Guided setup is guidance: Licensor walks your staff through setting up the Software and connecting it to your own systems, and does not access, configure, or change your systems or Your Data.
7. Term and Termination
This Agreement is effective until terminated. It terminates automatically if you fail to comply with any term of this Agreement. Licensor may also terminate or suspend your license for material breach. Upon termination, you must stop using the Software and, if reasonably practicable, uninstall it; Sections 3, 8, 9, 10, 11, and 13 survive termination. Because Your Data is stored locally on your own device, termination of this Agreement does not itself delete Your Data — that remains within your control. Expiry of a license key is not termination of this Agreement: the Software simply continues under the Starter plan as described in Section 6.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL MEET YOUR REQUIREMENTS, INCLUDING FOR REGULATORY OR COMPLIANCE PURPOSES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THAT ANY INSPECTION TEMPLATES, CHECKLISTS, OR REPORTS PRODUCED USING THE SOFTWARE MEET APPLICABLE REGULATORY, SAFETY, OR CONTRACTUAL REQUIREMENTS FOR YOUR USE CASE. Built-in template library items (e.g., referencing OSHA, HACCP, ISO, NFPA, GMP, or similar standards) are provided as customizable starting points only and are not official forms issued by, or endorsed by, any standards body or regulator.
Alerts, reminders, notifications, and workflow events are a convenience and are not guaranteed: your device’s operating system decides when the Software runs in the background, a message that cannot be delivered is retried only for a limited time, and a third-party service may delay or drop it. Do not rely on them as your only way to track deadlines or safety follow-ups.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR, FOR A PERPETUAL LICENSE, THE AMOUNT YOU PAID FOR THAT LICENSE. Because the Software stores data locally, you are solely responsible for maintaining your own backups (via the Software’s built-in backup/export feature or otherwise); Licensor is not responsible for data loss resulting from device loss, damage, uninstallation, or storage clearing. If you protect a backup with a passphrase, the backup is encrypted with that passphrase on your device and cannot be opened without it; Licensor has no copy of it and cannot recover it for you.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.
10. Export Compliance
You represent that you are not located in, or a national of, any country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and are not on any U.S. government restricted-party list. You agree to comply with all applicable export control laws.
11. Governing Law and Disputes
This Agreement is governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles. Any dispute arising under this Agreement will be resolved in the courts located in Texas, and you consent to their personal jurisdiction, except where applicable law (e.g., for consumers in certain jurisdictions) requires otherwise.
12. General
This Agreement, including the terms incorporated by reference in Section 1, is the entire agreement between you and Licensor regarding the Software and supersedes prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Licensor’s failure to enforce any provision is not a waiver. You may not assign this Agreement without Licensor’s written consent; Licensor may assign it in connection with a merger, acquisition, or sale of assets.
13. Apple App Store Terms
If you obtained the Software from Apple’s App Store, the following terms also apply. They control over any conflicting provision of this Agreement.
- Parties. This Agreement is concluded between you and Licensor only, and not with Apple Inc. (“Apple“). Licensor, not Apple, is solely responsible for the Software and its content.
- Scope of license. Your license to the Software obtained from the App Store is a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. Licensor is solely responsible for providing any maintenance and support services for the Software, as stated in this Agreement or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software.
- Warranty. Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Software fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the Software to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Licensor’s sole responsibility.
- Product claims. Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to the Software or your possession and use of it, including (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
- Intellectual property claims. If a third party claims that the Software or your possession and use of it infringes that third party’s intellectual property rights, Licensor, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Questions and complaints. Direct any questions, complaints, or claims about the Software to Licensor at the mailing address, telephone number, or email address in Section 14.
- Third-party terms. You must comply with applicable third-party terms of agreement when using the Software, such as your wireless data service agreement.
- Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
